Overview of Public Offering

Siam Makro Public Company Limited (MAKRO), a leader in wholesale business for consumer products and a leader in retail business and shopping center management and leasing in Thailand with an aim to be the leader in Southeast Asia under the name of under the name of “MAKRO” and “Lotus’s”, will have its public offering soon.

Offering Securities: Common shares of Siam Makro Public Company Limited (“Company” or “MAKRO”) currently listed on Stock Exchange of Thailand (SET)

Number of Offering Shares: Up to 1,430 million shares (including Greenshoe)

Offering Price: 43.50 baht per shares

Offering Period: From December 4, 2021 at 8:30 a.m. to December 9, 2021 at 3:30 p.m.

Subscriptions

Order and number of subscriptions do not affect the allocation result.
1. For Existing MAKRO, CPALL, CPF Shareholders with Rights
Subscriber Qualification

  • Only individuals and/or juristic persons who are MARKO, CPALL, CPF shareholders with rights (Referencing the name that appears on the Register Book at the end of the Record Date on November 23, 2021)

Rights Ratio

  • Existing shareholders of MAKRO: A ratio of 10 ordinary shares of the Company to 1 ordinary share of the Company (10:1)
  • Existing shareholders of CPALL: A ratio of 15 ordinary shares of CPALL to 1 ordinary share of the Company (15:1)
  • Existing shareholders of CPF: A ratio of 70 ordinary shares of CPF to 1 ordinary share of the Company (70:1)

Decimals from rights calculation will be rounded down to a whole number.

Note: MAKRO, CPALL, CPF shareholders rights are now available on www.settrade.com for shareholders to check the eligible name prior to the subscription period.

Minimum Subscription and Offering Price

  • The minimum subscription is one share, with subsequent multiples of one share.
  • Subscribers can subscribe under, equal, or over the given rights.
  • Subscribers must make a full payment at the price of 43.50 baht per share and will be refunded if the final offering price differs from the said subscription price.

Allotment (Order and number of subscriptions do not affect the allocation result)

The allotment for investors will be made by SETTRADE where

  1. Every subscriber will be allocated according to their rights first (Guaranteed for those with rights).
  2. Oversubscription will be allocated based on the proportion of rights initially obtained compared to other subscribers who wish to subscribe to more than given rights.
  3. Subscribers with multiple rights can separate their subscription forms according to the rights or can subscribe in a single subscription. Settrade will combine the rights and distribute the allocation results by portion and according to Settrade's formula.
2. For Retail Investors
Subscriber Qualification

  • Individuals and juristic persons
  • MAKRO, CPALL, CPF shareholders with rights are entitled to subscribe to this portion but the allocation will not be combined and their rights will not be calculated.

Minimum Subscription and Offering Price

  • The minimum subscription is 500 shares, with subsequent multiples of 100 shares and no maximum subscription.
  • Subscribers must make a full payment at the price of 43.50 baht per share and will be refunded if the final offering price differs from the said subscription price.

Allotment (Order and number of subscriptions do not affect the allocation result)

The allotment for investors will be made by SETTRADE in a Small-lot First method where

  1. In the first round, every subscriber will be allocated according to the minimum subscription amount (500 shares in this case).
  2. In the next rounds, 100 shares will be allocated in each round until all shares are allocated or subscribers receive the number of shares as subscribed.
  3. In case the number of shares is insufficient to allocate in that round, Settrade will randomly place a specific order in that round. For MAKRO, CPALL, CPF shareholders who have the right to subscribe in this section, their rights will not be calculated in this section.

The results of the allocation will be announced by December 15, 2021 on www.settrade.com.

Subscription Conditions


Subscribers can make a subscription after having completed the Customer Due Diligence & Know Your Customer and Suitability Test in a period of not more than two years. If the subscriber has never done the test or has completed the test but the evaluation has expired, please redo the assessment by accessing Bangkok Bank Mobile Banking or contact any Bangkok Bank branch.

Notes
  • New customers can easily open e-Saving accounts via Bangkok Bank Mobile Banking and authenticate with NDID or Be My ID.
  • For preparation before subscription via Bangkok Bank Mobile Banking, customers can access Bangkok Bank Mobile Banking in advance to create a subscriber profile. Customers with existing profiles can recheck their information. In the case that customers would like to transfer allocated securities to their securities depository account, the name on the subscription must be the same as the name on the securities depository account to successfully transfer the securities.
  • Customers can request to open Securities Trading Account with Bualuang Securities via Bangkok Bank Mobile Banking.
  • Only some branches can accept subscriptions during weekends.
