Liquidity and Transfer Restrictions
  • The Fund has limited liquidity. Its subscription is available monthly and redemption is processed quarterly. Investors must submit their orders in advance and are advised to carefully review the trading periods of the Fund announced by the asset management company before deciding to invest.
  • The Destination Funds may impose redemption restrictions. Investors may not receive unit allocations, redemptions or be able to switch investment units within the expected timeframe.
  • Unitholders cannot transfer investment units to other investors unless they qualify as institutional investors or ultra-high-net-worth individuals, except if it is an inheritance and/or other special circumstances approved by the asset management company.
Key Risks and Complexities
The Fund primarily invests in the Master Fund, which focuses on companies not listed on stock exchanges (“Private Equity”). This may result in limitations on access to information, including general investment details and valuation data. Furthermore, there is typically no secondary market for Private Equity investments, making it impossible to benchmark valuations against publicly traded securities. Consequently, the valuation of the Master Fund’s investments may rely on limited available data. In addition, Private Equity investments are highly illiquid, and the Master Fund’s various investments may require extended periods to dispose of assets. This creates a risk that the Fund may be unable to convert assets into cash and return capital to investors within the specified timeframe.
Investment Policy
  • The Fund has a policy to invest in the investment units of only one foreign collective investment scheme, namely VistaOne (Lux) Feeder, SICAV SA-I (the"Master Fund"), denominated in U.S. dollars (USD), at an average of not less than 80% of NAV during each fiscal year. The Master Fund focuses onacquisitions that provide controlling interests in enterprise software companies, data companies, and technology solution providers, covering small-cap, mid-cap, and large-cap businesses with significant value creation potential.
  • The Master Fund is a sub-fund of VistaOne (Lux) Feeder, SICAV SA, established as an investment company with variable capital and the ability to be subdivided into separate sub-funds. The Master Fund is authorized under the laws of the Grand Duchy of Luxembourg and is registered on the official list of undertakings for collective investment (UCIs), as approved by the Commission de Surveillance du Secteur Financier (CSSF). VistaOne (Lux) Feeder, SICAV SA has appointed ONE Fund Management S.A. as the Alternative Investment Fund Manager (AIFM), and the AIFM has delegated the investment management function of the Master Fund to VEPF Management, L.P. (the "Investment Manager").
  • The Fund may invest in derivatives for efficient portfolio management (EPM) and for hedging purposes, including instruments with embedded derivatives, provided that the derivative exposure shall not exceed 100% of NAV. The Fund may also engage in borrowing and/or repurchase transactions (repos) for investment purposes, in aggregate not exceeding 50% of NAV, and/or invest in private equity up to 150% of NAV. However, the Fund will not engage in short selling of securities.
  • The fund may invest in units of other mutual funds under the management company, up to 100% of the fund's NAV.
  • The investment strategy seeks to deliver performance in line with the Master Fund, which has the investment objective of generating long-term returns through private equity investments.
